Terms of Service

Effective date: October 1, 2026

These Terms of Service ("Terms") govern your use of Folio (公卷, the "Service") at publics.nexushubs.com ("we", "us"). By using the Service, or by creating an account, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Folio is an AI assistant for questions about mainland China listed-company announcements, drawn from a CNInfo (巨潮资讯) corpus of filing metadata, extracted facts and coverage notes. Answers are generated by large language models. They can cite a metrics database, the document library, files you upload and, where enabled, selected websites. The corpus is a snapshot, not a complete or official market record. We may change, suspend or discontinue any part of the Service at any time.

2. Not professional advice

The Service provides general information only. It is not investment, financial, tax, legal or other professional advice, and nothing in it is a recommendation to buy, sell or hold any asset or to take any action. AI-generated answers can be incomplete, outdated or wrong even when they cite sources. Check important figures and documents against the original source before relying on them, and consult a qualified professional for decisions that matter.

3. Accounts

• You can use the Service as a guest without an account. Guest conversations are temporary and are deleted automatically, generally within 24 hours.
• If you create an account, you must give a valid email address you control and keep your password confidential. You are responsible for activity under your account.
• You must be at least 16 years old, or the age of digital consent where you live if higher, to create an account.
• Tell us promptly if you believe your account has been compromised.

4. Acceptable use

You agree not to:

• break any applicable law or infringe anyone's rights;
• upload content you have no right to share, or content that is malicious, unlawful, or contains other people's personal data without a lawful basis;
• attempt to gain unauthorized access to the Service, other accounts or our systems, or interfere with their operation;
• circumvent usage limits, quotas or access controls, including by creating multiple accounts or automating guest access;
• scrape, crawl or extract data from the Service in bulk, or use it to build a competing dataset or model;
• use the Service to generate spam, disinformation or content that misrepresents its origin as official.

5. Usage limits

The Service applies daily limits on prompts, uploads and overall usage, which may differ for guests and signed-in users and may change without notice. When a limit is reached you may need to sign in or wait until it resets.

6. Your content

You keep ownership of the prompts you write and the files you upload ("Your Content"). You grant us a limited license to store, process and transmit Your Content as needed to operate the Service, including sending it to the service providers described in the Privacy Policy. You are responsible for Your Content and for having the rights needed to upload it.

If you create a share link, anyone with the link can view that conversation until you revoke the link. Do not share conversations that contain confidential or personal information.

7. Answers and third-party sources

Subject to these Terms, you may use the answers and charts the Service generates for you. Announcement texts, facts and web pages belong to their issuers and publishers (including the listed companies, CNInfo and the exchanges) and remain subject to their own terms. Cite the original filing when you republish figures or quotes. Counts in the Service describe this corpus, not an official exchange statistic.

8. Our property

The Service, including its software, design and branding, is owned by its operator or its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to it other than the right to use the Service as described here. They do not transfer any right in the underlying filings.

9. Suspension and termination

We may limit, suspend or close an account, or revoke sessions, if we reasonably believe it breaks these Terms, creates risk for the Service or other users, or is required by law. You may stop using the Service at any time and may ask us to delete your account as described in the Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including accuracy, completeness, availability, merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will be uninterrupted, secure or error-free, or that data will be preserved.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from your use of or inability to use the Service or from reliance on any answer, including any investment or disclosure decision. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the twelve months before the claim, or USD 50. Some jurisdictions do not allow these limits, so they may not fully apply to you.

12. Indemnity

You agree to indemnify us against claims, losses and expenses arising from Your Content or from your breach of these Terms, to the extent permitted by law.

13. Changes to these Terms

We may update these Terms from time to time. We will post the new version on this page and update the effective date; for material changes we will take reasonable steps to notify account holders, for example by email. Continuing to use the Service after changes take effect means you accept them.

14. General

If any provision of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our consent. These Terms are the entire agreement between you and us about the Service.
